参加規約
本規約において「主催者」とは、Pivot Tokyo株式会社（以下「Pivot Tokyo」）およびVueloo inc.（以下「Vueloo」）を指します。
第１条 キャンセルポリシー
本イベントの運営、パブリシティなど事前準備にかかわるコストが発生するため、通常申込み受理後に関してはキャンセルをお受けすることが出来ません。
特例として、代替参加者を提出し、且つ主催者が妥当と判断した場合は、部分的な返金を実施致します。
開催まで60日を切った場合については、キャンセル及び返金は一切認められません。
返金及び債務については、該当する参加イベントにおける代替参加者の支払額の90％を上限と定め、10％の解約手数料を申し受けます。
主催者が十分な時間的猶予をもってイベントへの参加キャンセルを申し出た協賛者・参加者に対して返金を認めた場合でも、将来におけるイベントへの参加キャンセルを認める事とはなりません。
協賛者・参加者と主催者間の合意事項として、主催者が返金に対しての合意をしない場合、また代替参加者を見つけられない場合において、主催者は契約締結案件に対する返金をする義務を負わず、またそれによる債務も発生しません。
第２条 イベント内容・登壇者変更について
主催者は、やむを得ない事情により、事前の通知をもってプログラムの内容、登壇者、セッションの時間・順序を変更する権利を有します。これらの変更を理由とした参加費の返金、補償、その他いかなる請求にも応じません。ただし、イベント自体が中止となった場合については、別途主催者の判断により対応するものとします。
第３条 スケジュール管理
主催者は、イベント開催におけるプログラムスケジュールを作成する権利を有します。その過程においては、妥当な事前通知をもって特定の参加者のみによる朝食セッション他の設定や、協賛者とのスケジュール関連の事案についての調整を行います。
第４条 参加者の義務
参加者は自社の参加者のスケジュールと発生するコスト（協賛パッケージに含まれる以外のチケットのコスト、主催者が提供するサービスに含まれないコスト）についての責任を負います。
第５条 主催者の義務
主催者は、関連する全ての参加者に対してイベントの開催スケジュールを提供します。スケジュールには、一部参加者限定のクローズドセッション、ネットワーキングの機会、および一般参加者向けカンファレンスプログラムが含まれます。
第６条 免責事項
主催者は、自然災害、戦争、緊急事態、ストライキ、インターネットの接続不良／不接続、会場の崩壊や滞在不可な事由など、常識の範囲を超える理由がある場合、本契約内容不履行に対しての賠償責任を負わないものとする。
主催者は、いかなる場合においても参加者のイベント参加に起因する結果的または偶発的なビジネス機会の損失、ビジネスに関する情報の利益／損失、他のいかなる事由におけるクレームについても責任を負いません。
第７条 参加資格・迷惑行為
未成年者（18歳未満）がイベントに参加する場合は、保護者または法定後見人の事前の書面による同意が必要です。保護者の同意なく参加した未成年者に起因するいかなる事態についても、主催者は一切の責任を負いません。
参加者が他の参加者、登壇者、または主催者スタッフに対して迷惑行為、ハラスメント、その他不適切な行為を行った場合、主催者は当該参加者を予告なく退場させる権利を有します。この場合、参加費の返金は行いません。
第８条 録画・録音・文字起こしの禁止
参加者は、セッションの全編または部分的な録画・録音・文字起こしを、目的および手段を問わず禁止します。AIツール等を使用したリアルタイム文字起こしも同様に禁止します。主催者が許可した範囲での静止画撮影はこの限りではありませんが、取得した画像の第三者への共有・転載・公開は禁じます。なお、主催者または登壇者が「撮影禁止」と指定したセッションについては、静止画の撮影も禁止します。
第９条 プログラム・登壇者構成の模倣禁止
参加者は、本イベントへの参加を通じて知り得たプログラム構成、登壇者のアサイン、セッションテーマ、およびその組み合わせを模倣・複製し、同一または類似の登壇者を起用した同一または類似のテーマによるセミナー・イベント・勉強会等を、商業目的の有無にかかわらず開催することを禁じます。本条項は、参加者本人のみならず、参加者が所属する組織・企業においても同様に適用されます。
第１０条 機密保持
参加者は、本契約に記載される規約を遵守することに同意し、またイベント期間中に開示される機密情報、参加者間でやりとりされる情報についても、機密事案については本規約が適用されます。
機密事項を受け取る参加者は、本契約の条項外での機密情報の利用・開示をしない事に同意します。
本義務は、情報受領者の故意による事由以外で一般に周知される事となった場合は、この範囲ではない。
第１１条 参加者情報の取り扱い
主催者は、参加者登録時に取得した氏名、所属、連絡先等の情報を、イベント運営および関連するご案内の目的で使用します。また、スポンサー企業へ参加者情報を提供する場合があります。その際は、事前に参加者へ通知するものとします。参加者情報は、主催者のプライバシーポリシーに従い管理されます。
第１２条 反社会的勢力の排除
参加者は、現在および将来にわたって、暴力団、暴力団員、暴力団関係企業、総会屋、社会運動標榜ゴロ、特殊知能暴力集団その他これらに準ずる者（以下「反社会的勢力」）に該当しないことを表明・保証します。参加者が反社会的勢力に該当すると判明した場合、主催者は事前通知なく参加資格を取り消すことができ、返金の義務を負いません。
第１３条 譲渡禁止
本契約で定義される協賛・参加者の権利と義務は、主催者の承諾無しに第三者に委譲する事はできません。
第１４条 権利放棄
本契約の一部に違反する事により発生する権利を放棄することは、同じ条項・もしくは他の条項の権利を放棄することはなりません。
第１５条 準拠法・管轄裁判所
本契約は日本の国内法に遵守します。本契約に関連して生じる一切の紛争については、東京地方裁判所を第一審の専属的合意管轄裁判所とします。
第１６条 言語の優先
本規約は日本語および英語で作成されています。両言語間に解釈の相違が生じた場合は、日本語版が優先するものとします。
第１７条 その他
すべての通知事項は書面において参加者に提供されます。通知事項は、当フォームに同意しそれが送信された時点で有効とみなされます。本契約は当事者の完全合意とみなされ、事前の協議、合意、説明に代わるものとなります。本契約は、両社の書面による合意無しに変更をすることは出来ません。

In these Terms and Conditions, "Organizer" refers to Pivot Tokyo Inc. and Vueloo inc.
Article 1: Cancellation Policy
Due to the necessity for advance planning, printing and publicity, Sponsorship/Attendees commitments are not cancelable.
In Special circumstances, Event may, in its sole discretion, consider partial refunds, provided it is able to find a replacement Sponsor willing to take over the Sponsorship for that individual committed event.
No cancellation or refund will be considered 60 days before the date of the affected event.
Refunds or credits against obligations will be limited to 90% of the amount of the replacement sponsor's payment, less a 10% cancellation fee.
In the event that Event agrees to make a refund to a Sponsor making a timely request to cancel its participation in a specific event, this will in no way release or vitiate any other, further, or future sponsorship obligations that may exist between the parties.
It is understood and agreed that between the parties, Event has no obligation to grant a refund or credit and shall bear no liability whatsoever in the event that Event does not agree to a refund or credit, or does not find or accept any specific replacement sponsor.
Article 2: Program and Speaker Changes
The organizer reserves the right to modify program content, speakers, session times, and session order with advance notice where circumstances require. No refunds, compensation, or claims of any kind will be accepted on the basis of such changes. In the event of full cancellation of the event, the organizer will address refunds at its sole discretion.
Article 3: Schedule Management
Event reserves the right to create the Master Schedule, however it will provide reasonable advance notice of date and times for the specific group closed door breakfast sessions and other scheduled events, and will use commercially reasonable efforts to work with each sponsor to resolve any scheduling issues.
Article 4: Attendee Obligations
Sponsor will be responsible for the scheduling of its Company attendees and for all additional costs associated with such attendance, including travel, lodging and expenses and any additional passes to the event beyond the agreed number of Full Summit passes provided by Event as part of this Sponsorship agreement.
Article 5: Organizer Obligations
The organizer will provide the event schedule to all relevant attendees. The schedule includes closed sessions limited to select participants, networking opportunities, and a conference program open to all attendees.
Article 6: Limitation of Liability
Event shall not be in breach of this agreement in the event it is unable to perform its obligations under this Agreement as a result of natural disaster, war, emergency conditions, labor strife, the failure or substantial failure of the Internet, the destruction or uninhabitability of any event venue or other reasons or conditions beyond its reasonable control.
In no event shall Event be liable to any person or entity for any consequential or incidental damages for loss of business, profits or loss of business information or any other loss or claim whatsoever, arising out of Sponsor's participation in the Event series.
Article 7: Eligibility and Conduct
Minors (under the age of 18) wishing to attend the event must obtain prior written consent from a parent or legal guardian. The organizer shall bear no responsibility whatsoever for any incidents arising from the attendance of a minor without such consent.
If an attendee engages in harassment, disruptive behavior, or any other inappropriate conduct toward other attendees, speakers, or organizer staff, the organizer reserves the right to remove such attendee from the event without prior notice. No refund of participation fees will be issued in such cases.
Article 8: Prohibition on Recording and Transcription
Attendees are prohibited from recording, filming, audio-recording, or transcribing any session, in whole or in part, regardless of purpose or method. Real-time transcription using AI tools or similar technologies is also prohibited. Still photography is permitted only where explicitly authorized by the organizer, and any images taken may not be shared, redistributed, or published in any form. Photography is also prohibited in sessions designated as 'No Photography' by the organizer or speaker.
Article 9: Prohibition on Program Imitation
Attendees are prohibited from replicating or reproducing the program structure, speaker assignments, session themes, or any combination thereof obtained through participation in this event, and from organizing seminars, events, or study sessions featuring the same or similar speakers on the same or similar topics, whether for commercial purposes or otherwise. This prohibition applies not only to the attendee individually, but also to any organization or company to which the attendee belongs.
Article 10: Confidentiality
Parties agree that they will maintain in confidence the terms and conditions of this Agreement, as well as any other Confidential information that is identified and communicated as such by one party to the other at the time of disclosure.
The party receiving such confidential information agrees not to use or disclose or apply such information, except in performance of the terms of this Agreement.
Such obligations shall not apply to information that becomes part of the public domain through no fault of the receiving party.
Article 11: Handling of Participant Information
The organizer will use participant information such as name, affiliation, and contact details for event operations and related communications. Participant information may be shared with sponsor companies, in which case prior notice will be given to participants. All participant information will be managed in accordance with the organizer's privacy policy.
Article 12: Exclusion of Antisocial Forces
Participants represent and warrant that they are not, and will not in the future become, affiliated with organized crime groups, gang members, related enterprises, corporate extortionists, or any other antisocial forces. If a participant is found to be associated with any such group, the organizer reserves the right to revoke participation without prior notice and shall have no obligation to issue a refund.
Article 13: Non-assignability
Sponsors' rights and obligations under this Agreement may not be transferred or assigned directly or indirectly without the prior written consent of Event.
Article 14: Waiver
Failure of either party to enforce any of its rights under any of the provisions of this Agreement shall not constitute a waiver of the provisions or of the right of the parties to enforce each and every other provision of this Agreement.
Article 15: Governing Law and Jurisdiction
This Agreement shall be governed by the laws of Japan. Any and all disputes arising in connection with this Agreement shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
Article 16: Language Precedence
These Terms and Conditions are prepared in both Japanese and English. In the event of any inconsistency or discrepancy between the two language versions, the Japanese version shall prevail.
Article 17: Miscellaneous
All notices under this Agreement shall be in writing and sent to the parties at the address first stated above. A notice shall be deemed given on the date it was sent. This Agreement constitutes the entire agreement of the parties and supersedes all prior negotiations, agreements and representations. This Agreement shall not be modified except by a writing signed by both parties.
